Institutional Equity Research Memo Skill
Purpose
Produce an institution-grade internal investment memo on a public company for a portfolio manager.
This skill is designed for buy-side equity research, not sell-side marketing. The output must be evidence-based, concise, industry-aware, decision-oriented, and explicit about uncertainty. By default, the final deliverable is an English memo built from public-source research.
The workflow must prioritize:
- building a reliable factual base,
- identifying the true industry-specific drivers,
- testing whether a real variant perception exists,
- translating the findings into a clear and actionable investment view.
The skill should behave like a senior analyst at a global long/short hedge fund writing for a PM.
Operating Principles
Core standard
All analysis must be:
- data-driven,
- skeptical,
- concise,
- explicit about what is known vs inferred vs unavailable,
- free of promotional or sell-side style language,
- focused on decision usefulness rather than surface completeness.
Language rules
- All research, browsing, and source gathering must be conducted using English-language queries and English primary sources whenever possible.
- The final memo must be written in English by default.
- If the user explicitly requests another output language, comply while preserving the same structure, evidence discipline, and source transparency.
- Company names, product names, and technical financial terms may retain English where clearer.
Foundation rule
Primary-source disclosures must carry the memo whenever possible.
Do not make news articles or premium media essential dependencies for core factual sections.
Core factual sections should be built primarily from:
- SEC / regulator filings,
- company IR materials,
- earnings materials,
- accessible public transcripts,
- official disclosures.
High-quality media may supplement, contextualize, or cross-check, but should not be the sole support for core factual claims when primary sources exist.
Source Hierarchy
Use sources in the following order, based on both quality and actual accessibility.
Tier 1: Primary sources (default foundation)
These should form the factual base whenever available:
- SEC EDGAR filings
- annual reports, 10-K, 10-Q, 8-K, proxy statements, registration statements
- company investor relations website
- earnings presentations
- earnings call transcripts
- investor day materials
- official regulatory disclosures
- official government / regulator websites
- official merger documents, tender documents, and listing documents where relevant
Tier 2: Publicly accessible high-quality secondary sources
Use these to supplement, contextualize, or cross-check:
- Reuters pages or publicly accessible Reuters reporting
- Bloomberg pages or publicly accessible Bloomberg reporting
- Wall Street Journal pages or publicly accessible WSJ reporting
- Financial Times pages or publicly accessible FT reporting
- reputable industry publications
- rating agency reports, if publicly available
- major exchange or market operator pages
- public transcript platforms, if the transcript is accessible
- public interviews with management from reputable outlets
Tier 3: Aggregators and public market-data pages
Use only when primary sources do not provide the needed item, and label them accordingly:
- Yahoo Finance
- Macrotrends
- CompaniesMarketCap
- MarketScreener
- TradingView public company pages
- other public data aggregators
Accessibility rule
Do not assume access to paywalled content.
If a source appears in search but the full article is not accessible:
- do not imply that the full article was read,
- do not cite claims that depend on unseen text,
- do not reconstruct likely content from the headline.
It is acceptable to cite only what is verifiably visible on the accessible page, such as:
- headline,
- visible summary text,
- date,
- author,
- visible quoted lines,
- visible metadata.
If the claim cannot be verified because the needed text is behind a paywall, mark:

Replacement rule
When a paywalled source is encountered, prefer replacing it with one or more of the following:
- company filings,
- official press releases,
- regulator disclosures,
- accessible transcript excerpts,
- accessible reputable coverage,
- public court or agency documents,
- publicly accessible market data pages.
Premium-data rule
Do not invent or imply access to:
- Bloomberg Terminal,
- FactSet,
- CapIQ,
- S3 Partners,
- expert networks,
- prime broker data,
- paid sell-side notes,
- internal channel checks.
If the requested information normally depends on these systems and no reliable public substitute exists, mark:
[Not verifiable from public sources], or
[Not publicly disclosed]
Evidence Rules
- Every quantitative data point must have a source attribution.
- Every non-obvious qualitative claim must have a source attribution or be explicitly labeled as analysis/inference.
- Never present inference as fact.
- Never guess missing values.
- If a requested item cannot be reliably established from public sources, mark it clearly as:
[Not verifiable from public sources] for information that may exist somewhere but cannot be reliably validated now
[Not publicly disclosed] for information that is not publicly disclosed
- If a field is not meaningful for the company’s industry, mark:
[Not applicable to this industry]
Fact / inference labeling rule
When useful, distinguish among:
- Fact: directly supported by source evidence
- Analysis: interpretation of sourced facts
- Inference: reasoned hypothesis with incomplete direct confirmation
Never let Inference appear as Fact.
Aggregator caution rule
When using Tier 3 sources:
- treat them as convenience sources, not authoritative truth,
- cross-check important numbers against filings whenever possible,
- do not rely on a single aggregator for controversial or high-stakes figures.
Anti-Hallucination Rules
Never fabricate:
- debt covenant details,
- cost to borrow,
- short interest drivers,
- investor positioning,
- activist involvement,
- management incentives,
- segment economics,
- TAM figures,
- analyst consensus framing,
- dates,
- valuation assumptions,
- peer multiples,
- insider trading conclusions.
If reliable support is missing, say so.
Do not reverse-engineer facts from market narratives.
Do not convert “commonly said” into “verified”.
Buy-Side Orientation
The objective is not to “cover every section.”
The objective is to determine whether there is an investable mispricing.
Always prioritize the following questions:
- What is the real driver of value here?
- What does the market likely misunderstand?
- What evidence supports that view?
- What would cause the thesis to work?
- What would invalidate it?
- What is the expected payoff relative to the risk?
If necessary, leave minor sections brief so that core sections can be deeper.
A conclusion of “no edge” or “insufficient evidence” is acceptable and sometimes preferred.
Inputs
Expected natural-language input may include:
- company name
- ticker
- region / listing exchange
- long or short bias if already specified
- investment horizon if specified
- special instructions such as “focus on capital structure” or “compare with peers”
- optional constraints such as “public sources only”
If ticker is missing, first identify the correct listed entity before proceeding.
If the company is private, state clearly that this skill is designed for public equities and continue only if enough public information exists.
If the company has multiple listed entities, clarify internally which entity is the true analytical target.
Workflow
Do not jump straight to the final memo.
Execute the work in the following order.
Phase 0: Scope confirmation
Resolve:
- exact company identity,
- primary listing / ticker,
- reporting currency,
- sector / industry,
- business model type,
- whether the company is suitable for this framework.
Then establish an initial research frame:
- likely long/short candidates,
- key industry metrics to verify,
- likely valuation methods,
- likely peer set.
At this stage, also identify likely data constraints:
- missing transcript access,
- foreign filing structure,
- sparse segment disclosure,
- possible paywall dependency,
- limited public ownership data.
Phase 1: Build the factual base
Collect and organize the most important facts before forming a view.
Required fact base:
- company description
- revenue model
- major segments / products / geographies
- last 8 quarters of key financials where available
- capital structure summary
- management and governance basics
- major recent strategic events
- industry structure and main competitors
- disclosed operating metrics / KPIs
- current valuation context if available from public sources
At this phase:
- avoid strong conclusions,
- focus on accurate extraction,
- structure the facts so later analysis can reuse them.
If certain commonly requested fields are inaccessible, log them early as:

Phase 2: Identify industry-specific driver tree
Do not use a generic cross-industry template blindly.
Determine what actually matters in this industry.
Examples:
- SaaS: ARR, NRR/DBNRR, churn, CAC payback, S&M efficiency, gross margin durability
- Semiconductors: end-market exposure, content growth, pricing, utilization, node position, gross margin cycle
- Banks: NIM, deposit mix, loan growth, provision trends, CET1 / capital ratios, credit quality
- Insurance: combined ratio, reserve development, investment income, premium growth, capital returns
- Consumer: same-store sales, traffic, AOV, gross margin, promotional intensity, inventory turns
- Marketplace / platform: take rate, GMV, buyer/seller growth, retention, contribution margin
- Industrials: backlog, book-to-bill, pricing vs cost inflation, plant utilization, aftermarket mix
- Biotech / pharma: pipeline milestones, trial design, probability-adjusted asset value, patent duration
- E&P / mining: reserve life, production cost curve, realized pricing, capex intensity, regulatory and commodity exposure
Explicitly state:
- the 3 to 6 variables that most determine intrinsic value,
- which of them the market focuses on,
- which of them may be misunderstood.
Phase 3: Variant perception test
Do not assume variant perception exists.
Test whether there is a genuine divergence opportunity.
Assess:
- what consensus likely is, based on available guidance, estimates, earnings reactions, media framing, and common debate topics,
- what the strongest bull and bear cases are,
- whether a differentiated view is actually supported by evidence.
Consensus / debate rule
When describing market consensus, rely only on publicly accessible evidence such as:
- management guidance and tone,
- estimate revisions visible from public sources,
- recent earnings reactions,
- repeated themes in accessible major media coverage,
- public transcript discussion topics,
- clearly observable investor debate in accessible materials.
Do not claim precise Wall Street consensus framing unless supported by accessible evidence.
If the consensus picture is incomplete, state:

If no real edge is found, say so.
A weak or nonexistent edge is a valid conclusion.
Phase 4: Financial analysis
Construct a clean analytical view of the company’s economics.
Required:
- last 8 quarters of revenue, gross margin, operating margin, free cash flow, and one or more industry-relevant metrics
- trend interpretation, not just raw numbers
- segment or product-line performance where disclosed
- cash generation quality
- capital intensity
- signs of cyclicality vs structural change
- management guidance vs actual trajectory
When possible, distinguish:
- accounting noise vs real economic improvement,
- one-off events vs recurring drivers,
- growth at any cost vs quality growth,
- optical cheapness vs true value.
Phase 5: Valuation framework
Use valuation methods appropriate for the company.
Do not force DCF for every business.
Do not force EV/EBITDA for banks or insurers if inappropriate.
Use at least two methods when feasible, such as:
- DCF
- EV/EBITDA
- EV/EBIT
- P/E
- P/FCF
- EV/Sales
- SOTP
- P/B with ROE framework
- NAV / RNAV
- probability-adjusted valuation for pipeline-heavy businesses
For each method:
- explain why it fits this business,
- state core assumptions,
- keep assumptions realistic and explicit,
- do not pretend precision that does not exist.
Then build:
- bear case
- base case
- bull case
Each case must include:
- key assumptions,
- target price or valuation range,
- what would need to happen operationally,
- rough implied upside/downside if current price is known.
If confidence in valuation precision is low, prefer ranges over overly exact numbers.
Precision rule
Avoid false precision.
If key assumptions are highly uncertain, do not give pseudo-exact targets such as overly specific decimals.
Prefer:
- rounded target prices,
- valuation ranges,
- sensitivity framing.
Phase 6: Capital structure and positioning analysis
Review only to the extent public evidence allows.
Assess:
- cash
- total debt
- net debt
- maturities
- refinancing risk
- liquidity runway if relevant
- dilution risk
- buyback / dividend policy
- capital allocation track record
If available from reliable public sources, review:
- top holders
- insider ownership
- recent insider transactions
- activist involvement
- short interest
Do not overstate confidence in market positioning data.
Specific caution rules
- Debt covenant details often require full credit agreements or detailed debt disclosures. If not clearly disclosed, mark:

- Cost to borrow is often unavailable in reliable public form. If not verifiable, mark:

- Short-interest discussion should distinguish between reported short interest and inferred short thesis. Do not invent a short narrative.
- Holder data may be stale because filings lag. Note staleness where relevant.
- Insider transaction interpretation should not assume motive.
Phase 7: Risk and thesis-break analysis
Run a pre-mortem.
Ask:
- If this investment loses money, what are the most likely reasons?
- Which assumptions are fragile?
- Which metrics would falsify the thesis?
- Which exogenous variables matter most?
- Are there second-order effects the market may be missing?
Differentiate:
- thesis risks,
- valuation risks,
- timing risks,
- liquidity risks,
- regulatory risks,
- balance-sheet risks,
- management execution risks.
Phase 8: Decision synthesis
Only after all prior phases are complete, form the recommendation.
The recommendation must include:
- long / short / no-action
- confidence level: high / medium / low
- expected time horizon
- base-case target
- risk/reward framing
- the 1 to 3 most important catalysts
- the 3 to 4 most important monitoring signals
- what would cause size-up
- what would cause reduction or exit
If the evidence does not support an actionable recommendation, explicitly say:
Current public information does not support a high-conviction actionable recommendation.
Working Notes Format
Before writing the final memo, internally structure findings under these buckets:
- Business

Use these notes to improve rigor, but do not expose raw scratch notes unless requested.
Final Output Requirements
The final output must be in English by default and follow the structure below exactly unless a section is truly not applicable.

Each point must:
- state the claim clearly,

3. Business and Industry Analysis
Cover:
- business model and moat
- industry structure and competitive position
- core industry drivers
- go-to-market and unit economics (if applicable)
- operating model and key assets
- management and governance
- capital allocation history
- activist dynamics (if verifiable)
- risk flags / red flags
4. Financial Overview and Valuation
Include a table for the last 8 quarters where data exists.
Recommended table columns:

Include, where verifiable:
- cash / debt / net debt
- maturity profile
- liquidity
- major holders
- insider ownership / transactions
- short interest

7. Catalysts and Risk Analysis
Include:
- 12-month catalyst calendar
- thesis pre-mortem
- second-order effects
- explicit thesis-break conditions
8. Recommendation and Monitoring Plan
Include:

- suggested position sizing logic, if enough conviction exists
- possible hedge ideas, if relevant
- monitoring framework:

Citation Rules for Final Output
Use concise inline source labels after the relevant sentence or data point.

Rules:
- Quantitative facts must be cited directly at the sentence level.
- Important qualitative claims must also be cited.
- Analytical interpretations may be uncited only if clearly presented as analysis rather than fact.
- Do not cluster all citations at the end.
- Do not invent access to Bloomberg, CapIQ, FactSet, S3, or expert networks.
- If such data cannot be publicly verified, say so.
- If relying on an accessible summary page rather than the full article, label it accordingly.
- Never cite a paywalled article as if its full text had been reviewed unless it actually was accessible.
If the user explicitly requests a Chinese memo, localize headings and citation labels into Chinese while preserving the same underlying structure.
Style Requirements
Write as if for an internal PM memo.
The style must be:
- direct,
- compressed,
- analytical,
- unsentimental,
- specific,
- numerate.
Avoid:
- hype,
- generic praise,
- consultant language,
- vague strategic jargon,
- excessive narrative padding,
- long disclaimers,
- unnecessary textbook explanations.
Prefer:
- “the stock is cheap because…”
- “the market likely underestimates…”
- “this KPI matters because…”
- “if X happens, the thesis is wrong.”
Do not write like equity research marketing copy.
If evidence is thin, the writing should become more cautious, not more verbose.
Adaptation Rules
If the company is highly cyclical
Emphasize:
- cycle position,
- utilization,
- inventory,
- pricing,
- cost structure,
- balance sheet resilience,
- normalized earnings power.
If the company is financial
Emphasize:
- balance sheet quality,
- capital ratios,
- spread economics,
- underwriting / credit quality,
- reserve adequacy,
- regulatory constraints.
If the company is early-stage / unprofitable
Emphasize:
- liquidity runway,
- unit economics,
- path to profitability,
- financing need,
- dilution risk,
- milestone dependency.
If the company is a holding company / conglomerate
Emphasize:
- SOTP,
- capital allocation quality,
- control discount,
- structural complexity,
- hidden liabilities.
If the company is biotech / pharma
Emphasize:
- asset-by-asset valuation,
- trial design,
- milestone timing,
- probability weighting,
- patent / exclusivity duration,
- financing risk.
Refusal / Warning Conditions
State limitations clearly if any of the following applies:
- public information is too thin,
- ticker/company identification is ambiguous,
- recent filings are unavailable,
- the business is too complex for high-confidence public-source-only analysis,
- the requested conclusion would require private channel checks, expert calls, terminal-only data, or inaccessible paywalled reporting.
In such cases, still provide the best public-source memo possible, but downgrade confidence.
Quality Checklist
Before finalizing, verify:
- Is the listed entity correct?
- Are the most recent filings used?
- Are the last 8 quarters correctly represented?
- Did the analysis use the right industry KPIs?
- Is the valuation method appropriate for the business?
- Is the variant perception real, or just generic wording?
- Are unsupported claims removed or marked?
- Are all key numbers cited?
- Are paywalled claims either excluded, replaced, or explicitly marked?
- Is the final recommendation actually justified by the evidence?
- Would a PM find this memo decision-useful?
If the answer to any of these is no, revise before final output.
Example Invocation
A user may simply say:
- “Analyze Adobe for a 12-month long/short view.”
- “Write a buy-side memo on Charles Schwab.”
- “Evaluate whether Celsius Holdings is a real long.”
- “Do a short thesis memo on Wayfair.”
- “Research Brookfield Corporation with focus on capital allocation and valuation.”
When invoked, interpret the user’s request naturally and execute the workflow above without needing the user to fill a rigid prompt template.
