Draft an enforceable renewal agreement that extends an existing franchise relationship while updating terms to current system standards and protecting franchisor IP and brand uniformity.
| Section | Key Contents | |---|---| | Title & Preamble | Full legal names, entity types, state of org, principal place of business, franchise ID, location, effective date aligned to original expiration | | Recitals | Original agreement reference + date; expiration date + continuity intent; franchisee renewal request + franchisor conditional acceptance; performance acknowledgment | | Conditions Precedent | See checklist below | | Renewal Fee | Fixed dollar amount, due date, payment method, refundability, relationship to initial franchise fee | | Renewal Term | Duration, governing agreement (then-current form), treatment of prior amendments, transition timing | | Premises Upgrades | Scope, plan approval process, completion deadline (90–180 days), inspection rights, non-completion consequences | | Equipment & Technology | Mandatory system updates, training requirements, cost allocation, implementation timeline | | Release of Claims | General release from franchisee + owners to franchisor + affiliates; carve-outs for non-waivable statutory rights | | Representations & Warranties | Authority, financial accuracy, no undisclosed litigation, compliance history, FDD receipt acknowledgment | | Governing Law & Disputes | Choice of law, venue, arbitration/mediation, fee-shifting, injunctive relief | | Integration & Miscellaneous | Merger clause, amendment requirements, severability, notice provisions, counterparts | | Signature Blocks | Authorized representatives, guarantor blocks, execution acknowledgments |
Include a broad general release from franchisee and owners (individually, plus heirs, successors, assigns) discharging franchisor and affiliates from all claims arising from the franchise relationship through the execution date. Must include carve-outs for: (a) claims non-releasable under applicable state franchise relationship laws; (b) any additional jurisdiction-specific exceptions. Mark unknown-claims waivers with [VERIFY] for states restricting Civil Code § 1542-type waivers.
Specify as a fixed dollar amount — never a formula or percentage. Address due date, payment method (wire/certified check), credit against initial franchise fee under new agreement, refundability conditions with precise deadlines, and late payment consequences including right to terminate renewal.
[VERIFY specific state applicability][VERIFY]| Issue | Resolution |
|---|---|
| State prohibits release as renewal condition | Remove release requirement or limit to claims outside statutory protection; flag with [VERIFY] |
| Material term changes from original agreement | FDD re-delivery required ≥14 days before execution; check state-specific timing rules |
| Gap between expiration and renewal effective date | Backdate renewal effective date to original expiration or add interim operating provision |
| Prior amendments/side letters not addressed | Explicitly state disposition of each — carry forward, supersede, or terminate |
| Franchisee disputes conditions precedent | Cross-reference original agreement's renewal provisions; confirm notice deadlines met |
